Pisces AI Manager Terms of Use
Pisces AI Manager is local orchestration software with optional Pisces AI Manager managed models. Customers may continue using their own CLIs, desktop accounts, and APIs; when a managed model is selected, prepaid Credit is used and Thinkbox Production proxies model requests that it is commercially authorized to serve.
Managed models, Credit, and invoices
1,000 Credits represent US$1 of account value. Input, output, and cached-token rates differ by model and are shown in the purchase or usage interface. Credit is reserved before a request, settled from provider-reported usage, and any unused reservation is released. Credit is not a bank deposit, is non-transferable, and is not redeemable for cash except where applicable law or the refund policy requires. Each purchase, adjustment, refund, or managed-model deduction creates an Pisces AI Manager record or invoice; a Stripe invoice applies only to payments actually processed by Stripe.
Types of Credit
- Credit (Wallet Credit): obtained by purchase, not reset monthly, and usable until it is consumed or expires under the section below.
- Monthly Credit: released by a Managed AI subscription in each billing period, cleared at the end of that period, and never carried over, accumulated, withdrawn, or refunded.
- Promotional Credits: released by referrals and other limited-time promotions as promotional usage, not as a purchasable product.
The three balances are recorded separately, cannot be set off against or converted into one another, and cannot be merged into a single balance; the actual deduction order is the one shown on the account page.
Credit validity and account dormancy
Wallet Credit expires when 24 months have passed since the account last consumed any Credit without further consumption. An account with no login, no license verification, and no Credit consumption for 12 consecutive months is treated as dormant, and at the end of that dormancy period the remaining Credit and Monthly Credit are both voided.
Any consumption of Credit restarts that 24-month period. We send a notice to the account’s registered email address 30 days before credit is voided. Monthly Credit is already zeroed at the end of each billing period and is unaffected by the 24-month rule. Expired or voided credit is not converted to cash and is not reissued, unless applicable law mandates otherwise.
Payment disputes and chargebacks
The customer agrees to contact admin@thinkboxproduction.com before filing a chargeback with a card issuer or payment processor. Filing a chargeback for a service that was delivered and used, without contacting us first, is a breach of these terms.
In that event we immediately suspend the account, revoke its licenses, void all remaining balances in the account, and terminate service, while submitting to the card issuer and the payment processor the evidence listed in the refund policy. If the dispute is decided against us, the charged-back amount together with the dispute fee charged by the payment processor becomes a debt owed to Thinkbox Production, and the account can only be restored once that debt and those fees are settled.
Customer responsibilities
- Comply with the terms of every AI, CLI, API, repository, and third-party service.
- Protect license keys, API keys, devices, and project data, and maintain backups of important projects.
- Review AI-generated tasks, commands, changes, tests, charges, and production results.
- Set and monitor third-party AI budgets, credits, rate limits, and usage limits.
Prohibited use and platform security
You may not use any Manager, Executor, Workflow, managed model, or platform feature to create, deploy, or assist malware, ransomware, credential or data theft, unauthorized access, service disruption, fraud, scams, phishing, impersonation, unlawful surveillance, destruction of your own or another person’s computer, or attempts to exploit vulnerabilities to access, alter, delete, disrupt, or steal Pisces AI Manager, customer, or third-party databases, accounts, confidential information, or systems. Explicitly authorized defensive security testing, remediation, and education must remain within the authorized scope.
The system may create a minimum-necessary safety incident for a clear prohibited request or attack on the platform. Automation may block and report, but it does not automatically ban an account. An authorized administrator reviews only the content and evidence necessary for the incident, access is logged, and decides whether to dismiss, warn, suspend, or ban. Serious or repeated violations may result in termination; refunds and remaining Credit are handled under applicable law, payment-dispute rules, and the refund policy. We may preserve evidence and contact law enforcement when legally required or reasonably necessary to protect rights and users.
AI usage and token responsibility
AI outputs and automated actions may be inaccurate, repetitive, delayed, interrupted, or consume more usage than expected. To the maximum extent permitted by applicable law, Thinkbox Production is not responsible for direct or indirect consumption of tokens, credits, API charges, subscription allowances, compute, bandwidth, or usage limits caused by retries, loops, model behavior, provider errors, configuration errors, network failures, or use of Pisces AI Manager.
License
During an active subscription, the customer may use Pisces AI Manager on the purchased number of devices. Keys may not be resold, publicly shared, used to bypass device limits, or used for reverse engineering.
SuperUltimate human assistance
SuperUltimate includes ongoing human setup and usage guidance while the subscription remains active. Response timing depends on support availability and is not guaranteed daily or immediately; at least one reasonable assistance session is included per paid billing month. Availability and limitation of liability
AI services, CLIs, APIs, Stripe, email, networks, hosting, and operating systems may fail. Pisces AI Manager provides activity records, backup, and recovery capabilities, but the customer remains responsible for production releases and financial, legal, security, data, and third-party cost decisions.
AI changes, user approval, and project risk
Pisces AI Manager may allow Executors to read, create, modify, overwrite, move, or delete project files and to run commands, tests, and Git operations. Direct execution is the default; customers may enable “Ask before every change” in Settings. A risk reminder is shown on first use. Whether the customer selects direct execution, approves execution or rework, or accepts a result after the Manager reports an issue, the customer makes the final decision and assumes the associated project risk. Customers must maintain independent backups and review diffs, tests, outputs, and deployment results.
Project loss and limitation of liability
To the maximum extent permitted by applicable law, Thinkbox Production is not liable for indirect, incidental, special, punitive, or consequential loss involving projects, source code, files, databases, backups, revenue, profit, opportunity, business continuity, or other data that is damaged, overwritten, disclosed, delayed, or lost directly or indirectly through Pisces AI Manager, third-party AI, CLIs, APIs, Executors, automated commands, user instructions or approvals, configuration, synchronization, networks, hardware, operating systems, or other third-party services. For direct liability that cannot lawfully be excluded, aggregate liability is limited to Pisces AI Manager subscription fees actually paid to Thinkbox Production during the three months preceding the event giving rise to the claim. Nothing excludes liability or statutory consumer rights that applicable law does not permit us to exclude or limit.
Referral Promotional Credits and Project sharing
A referral code may be submitted only by a new user during initial registration. Each new account may receive it once, in the amount shown by the active registration promotion, capped at 1,000 Promotional Credits. Promotional Credits are limited-time promotional usage, not a purchasable monthly plan, and cannot be transferred, withdrawn, or exchanged for cash. A Project share key copies the Project text, Chats, and continuity data present on the server at that time; attachments, local paths, and project files on a computer are excluded. Revoking a key prevents later imports or refreshes but cannot remotely delete copies already saved by a recipient. The sender must have the right to disclose the content, and the recipient must not republish or misuse it.
Payment channels
The website displays only payment channels that are configured and enabled. Stripe, Alipay, and other processors handle payment data under their own currencies, exchange rates, fees, refund windows, and identity checks. Payment is credited only after server-side confirmation through a signature-verified asynchronous notification or status query; a successful browser redirect does not itself prove payment.
Acceptance records store the agreement version, content hash, acceptance time, IP address, and user agent.
